By accessing or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website. We may modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

Tazwat Technology provides professional software development services, including but not limited to:

• Mobile application development (iOS and Android)

• Maintenance and support services

3. User Obligations and Responsibilities

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete project requirements and information
• Respond to requests for feedback and approvals in a timely manner
• Provide necessary access to systems, accounts, and resources as required
• Make payments according to agreed terms and schedules
• Respect intellectual property rights and confidentiality agreements

Prohibited Uses

4. Intellectual Property Rights

Client-Owned IP

You retain ownership of your business concepts, data, content, and any pre-existing intellectual property provided to us. Upon full payment, you will own the custom software solutions developed specifically for your project.

Tazwat-Owned IP

We retain ownership of:

• Our proprietary development tools, frameworks, and methodologies
• General knowledge and expertise gained during project execution
• Any improvements to our existing tools or processes
• Pre-existing code libraries and reusable components

Third-Party Components

Software solutions may include third-party libraries, frameworks, or services. Use of such components is subject to their respective licenses and terms of service.

5. Payment Terms and Billing

Payment terms will be specified in individual project agreements. General payment conditions include:

• Payments are due according to the agreed schedule and payment terms
• Late payments may incur additional fees and delay project delivery
• All prices are quoted in the currency specified in the project agreement
• Additional work outside the original scope may incur extra charges
• Refunds are subject to the specific terms outlined in project agreements

We reserve the right to suspend services for overdue payments and may pursue legal action for collection of outstanding amounts.

6. Project Timeline and Delivery

Project timelines and delivery schedules are estimates based on the information provided and agreed scope. Actual delivery may be affected by:

• Changes in project requirements or scope
• Delays in client feedback or approval
• Technical complexities discovered during development
• Third-party service dependencies
• Force majeure events beyond our control

We will communicate any potential delays promptly and work with you to minimize their impact.

7. Warranties and Support

Service Warranties

We warrant that our services will be performed with professional skill and care consistent with industry standards. We will correct any non-conforming work at no additional cost during the warranty period specified in the project agreement.

Support Services

Post-delivery support terms will be specified in individual agreements and may include:

• Bug fixes and error corrections
• Technical support and maintenance
• Updates and enhancements
• Performance optimization

EXCEPT AS EXPRESSLY SET FORTH HEREIN, WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific project
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• We are not responsible for damages caused by your misuse of the software or failure to follow our recommendations
• We are not liable for issues arising from third-party services, platforms, or components integrated into your solution

9. Confidentiality

We understand that you may share confidential information with us during our engagement. We agree to:

• Keep all confidential information strictly confidential
• Use confidential information only for the purpose of providing our services
• Implement appropriate security measures to protect confidential information
• Return or destroy confidential information upon request or project completion

This obligation survives termination of our agreement and continues indefinitely.

10. Termination

Either party may terminate our services agreement under the following conditions:

• For Convenience: With written notice as specified in the project agreement
• For Cause: Immediately upon material breach of these Terms or project agreement
• For Non-Payment: If payment is overdue beyond the specified grace period

Upon termination, you remain responsible for payment of all services performed up to the termination date. We will provide deliverables for completed work phases upon payment of outstanding amounts.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tazwat Technology from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the software or services we provide
• Your violation of these Terms or applicable laws
• Your infringement of third-party intellectual property rights
• Content or data you provide that violates third-party rights

12. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor strikes, government actions, or technical failures of third-party services.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Morocco. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Casablanca, Morocco.

14. Entire Agreement and Modifications

These Terms, together with any specific project agreements, constitute the entire agreement between you and Tazwat Technology. These Terms may only be modified by written agreement signed by both parties, except that we may update these Terms by posting revised versions on our website.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with an enforceable provision that most closely achieves the intent of the original provision.
